Why is the Subscriber Sheet Important?

The subscriber sheet is really important legally and practically for an LLP:

  • Legal Evidence: It clearly shows that the people listed have willingly agreed to become partners in LLP. This helps stop arguments later about who is or isn’t a partner.
  • Mandatory Requirement: The Limited Liability Partnership Act, 2008 says you must have this document. Without a correctly signed subscriber sheet, the government won’t approve your LLP.
  • Base for the LLP: The sheet lays out the first money or other contributions each partner promises to the LLP. This forms the financial base for the LLP to start working.

Format of a Subscriber Sheet

A subscriber sheet of LLP will have the following key details for each partner:

Partner Information:

This section of the subscriber sheet includes important info about each individual who is becoming part of LLP. The sheet shows names of partners, Director Identification Number (DIN) and their designation in the LLP (whether they are a designated partner with additional responsibilities or a regular partner.

Signature of Partners:

Underneath the declaration or statement where partners confirm their intention to contribute capital, the partners must sign beside their respective details. This section ensures that every subscriber has clearly given consent by affixing their signature next to their name. It provides legal proof of agreement and is required for LLP registration in India.

Witness Information:

To make the document legally valid, the signatures of the subscribers must be witnessed. The witness also needs to write their name, address, profession and professional no., and sign it. These details ensure that the witness is a qualified individual, adding credibility to the document.

Date & Place of Subscription:

Besides names and signatures, the Subscriber sheet also contains the exact date and place where the partners signed the sheet and agreed to join the LLP. This helps confirm the timing and location of the partner’s commitment.

Tips for Filing the Subscriber Sheet for LLP

1. Use a Standard Format

Always use a clear format. You can use templates provided by ChartredOne to ensure compliance with MCA requirements.

2. Ensure Correct DIN and DSC

Before filing out the form, verify that all partners have valid DIN and active DSC.

3. Mention Designation Clearly

Clearly state whether each individual is joining as a "Designated Partner" or a "Partner". This is essential as designated partners have additional legal responsibilities.

4. Get Witness Signature from Practicing Professional

Make sure the witness is a qualified professional like CA, CS, Advocate or Cost Accountant. Include their full name, profession and membership number.

5. Match Details Across All Documents

The partner details on the subscriber sheet must exactly match those on DSC, DIN, PAN Card, and FiLLiP form. Even minor mismatches can lead to rejection.

6. Mention Date and Place Accurately

These minor details are usually neglected but are important from a legal perspective. Make sure the date and place are filled appropriately.

7. Keep File Size Within Limits

While filing FiLLiP and attaching the subscriber sheet of LLP, make sure that it is in PDF and JPG format and not more than 2MB in size according to MCA guidelines.
